General Terms and Conditions of Sale
Finesse Deco Partners – Valid from December 2025
1. Conclusion of Agreement
1.1. These general terms and conditions apply to all offers, agreements, and deliveries by DECO PARTNERS. The customer's general (purchase) terms are expressly excluded.
1.2. An agreement is only established upon written confirmation by DECO PARTNERS or at the start of execution. Offers are non-binding and valid for one month.
2. Specifications and Tolerances
2.1. Due to the nature of the products (textiles/PVC), dimensions, colors, and quantities are respected as accurately as possible. Industry-standard tolerances are permitted. DECO PARTNERS reserves the right to deliver and invoice up to 10% more or less than the quantity ordered.
3. Delivery, Terms, and Risk
3.1. Franco Delivery: Delivery is free of charge (franco) to a single address in Belgium, the Netherlands, Germany, and France for orders with a minimum value of €300 (excl. VAT).
3.2. For orders below €300 or deliveries outside the aforementioned countries, delivery is Ex Works (Incoterms 2020) from DECO PARTNERS' registered office. Risk transfers to the customer once the goods leave our warehouse.
4. Payment and Default
4.1. Payment is due in cash upon receipt of the goods, unless otherwise agreed in writing. Failure to pay on the due date will result in late payment interest of 12% per annum, due by operation of law.
4.2. In the event of non-payment by the due date, a fixed compensation of 10% of the invoice amount (min. €100) is due.
5. Retention of Title
5.1. Delivered goods remains the exclusive property of DECO PARTNERS until full payment of the price, costs, and interest. The customer agrees not to dispose of or pledge the goods until they are fully paid for.
6. Governing Law and Disputes
6.1. All agreements are exclusively governed by Belgian law. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
6.2. The courts of the district of DECO PARTNERS' registered office shall have exclusive jurisdiction over any dispute.
